Coaching Commitment
This Coaching Agreement ("Agreement") is entered into by and between the Coach ("Coach") and Askdoctorfaith INC ("Here and after ADF, The Coaching Organization"), collectively referred to as the "Parties". The Parties agree to the following coaching commitment:
- Coach shall provide one coaching session per month, lasting approximately 45 minutes, to each assigned ADF student ("Student").
- Each coaching session shall be tailored to the Student's progress in the curriculum and shall include one additional focus area identified during the onboarding process.
This commitment is designed to ensure that each Student receives personalized and effective coaching support, contributing to their overall development and success within the respective coaching curriculum.
Coach Expectations
This clause outlines the expectations placed upon the Coach by AskDoctorFaith, within the jurisdiction of North Carolina. The Coach is expected to adhere to the following guidelines:
- Schedule Coaching Sessions consistently and with clarity, ensuring that sessions are booked and communicated in advance to allow for adequate preparation.
- Arrive to each Coaching Session prayed up, prepared, and present, fully ready to engage with the Student and provide high-quality coaching.
- Maintain accurate and comprehensive records of each Coaching Session, including key progress notes that highlight the Student's development and areas of focus.
- Encourage accountability, growth, and goal clarity within the Student, fostering an environment that supports their development and achievement of their objectives.
It is essential that these expectations are met consistently to ensure the highest quality of coaching is provided to Students, in line with the standards set forth by ADF.
Communication
This clause outlines the communication responsibilities between the Coach and ADF, the Coaching Organization, in relation to the Coaching Sessions. Both parties agree to adhere to the following communication protocols:
- The Coach shall respond to client scheduling inquiries in a timely and professional manner, ensuring that any scheduling conflicts or changes are communicated to both the client and ADF leadership as soon as possible.
- In the event that a client is unresponsive, repeatedly misses Coaching Sessions, or demonstrates emotional or spiritual instability, the Coach is required to notify ADF leadership promptly. This is to ensure that appropriate measures can be taken to address the client's needs and maintain the integrity of the coaching program.
- ADF shall provide the Coach with the necessary contact information and communication channels to facilitate these responsibilities effectively.
Coaching Boundaries
This Coaching Agreement (the "Agreement") is made in the jurisdiction of North Carolina and establishes the boundaries between the Coach and the Coaching Organization, ADF, regarding the conduct of coaching sessions. The parties agree to the following:
- The Coach shall not offer counseling or therapy services to the Student. The focus of the Coaching Session shall remain on the Student's respective curriculum progress and the additional focus area identified during onboarding.
- The Coach and the Student shall not allow their relationship to become overly personal or emotionally dependent. The professional nature of the coaching relationship must be maintained at all times.
- All communication between the Coach and the Student shall be conducted within the agreed-upon hours and formats. This ensures that the boundaries of the coaching relationship are respected and that both parties have a clear understanding of the expectations regarding communication.
Confidentiality
This Confidentiality clause is made pursuant to the Coaching Agreement between the Coach and ADF (the "Coaching Organization"), governing the provision of coaching services within the jurisdiction of North Carolina. Both parties agree to maintain the confidentiality of all information related to the Coaching Sessions, as defined herein, and any other confidential information disclosed during the course of the Coaching Agreement, except where disclosure is required by law or is necessary to prevent a serious and imminent risk of harm to an individual or the public.
Confidential information includes, but is not limited to, personal information about the students, coaching strategies, and materials used or created during Coaching Sessions. The obligation of confidentiality shall survive the termination of the Coaching Agreement and continue indefinitely.
Both parties acknowledge that unauthorized disclosure of confidential information may result in irreparable harm and significant injury, which may be difficult to ascertain. Accordingly, both parties agree that, in addition to any other remedy that may be available in law or equity, the non-breaching party shall be entitled to seek injunctive relief against the threatened breach of this clause or the continuation of any such breach, without the necessity of proving actual damages.
Reporting & Feedback
The Coach shall submit monthly coaching reports to ADF leadership using the designated coaching report form. These reports must include client progress, session highlights, areas of concern, and spiritual/personal growth observed during the Coaching Sessions. The Coach is also required to share any red flags, missed sessions, or lack of participation immediately with ADF administration.
In addition to monthly reports, the Coach agrees to participate in quarterly feedback and calibration sessions with ADF leadership. The purpose of these sessions is to ensure consistency and excellence across the coaching team, focusing on the improvement of coaching strategies and the overall coaching experience.
Time Frame & Session Boundaries
This Agreement sets forth the understanding between ADF ("Coaching Organization") and the Coach regarding the time frame and boundaries of Coaching Sessions. Each Coaching Session shall be 45 minutes in length, strictly adhering to the schedule agreed upon by the Coach and the Coaching Organization. It is imperative that Coaching Sessions begin and end punctually to respect the time commitments of both the Coach and the students involved.
In the event of a need to reschedule a Coaching Session, the party requesting the change must notify the other party at least 24 hours in advance of the scheduled session time. This advance notice is required to ensure that both parties can adequately adjust their schedules without significant inconvenience.
Failure to adhere to the scheduled times without proper notice may result in adjustments to the coaching agreement or other measures as deemed necessary by the Coaching Organization.
Payment
This Payment clause applies to Coaches acting as independent contractors for ADF, a Coaching Organization, within the jurisdiction of North Carolina. Coaches shall be compensated for their services through QuickBooks as 1099 independent contractors. As such, Coaches are solely responsible for the payment of all taxes and contributions that may be due on the amounts paid to them and shall comply with all applicable tax laws and regulations. To facilitate payment, Coaches are required to:
- Set up a QuickBooks account.
- Submit their W-9 and required tax documentation to ADF.
- Ensure their payment details are current and accurate in the QuickBooks system.
Payment for services rendered will be based on the hours logged by Coaches, with compensation issued at the end of each month. It is the responsibility of Coaches to accurately clock in their hours. Coaches will receive a 1099 form at the end of the fiscal year for tax reporting purposes.
Non-Compete Clause
During the term of this Coaching Agreement and for a period of twelve (12) months immediately following the termination of this Agreement, whether such termination is voluntary or involuntary, the Coach agrees not to engage in any coaching activities that are directly competitive with the services provided by DTA PLUS, within the State of North Carolina. Specifically, the Coach shall not:
- Solicit or attempt to solicit, directly or indirectly, business from any client of ADF that was served by the Coach during the term of this Agreement.
- Offer or provide coaching services similar to those provided under this Agreement to any client obtained through or as a result of the Coach's association with ADF or its affiliates, including but not limited to AskDoctorFaith (ADF), outside of the ADF organizational structure.
- Use or disclose any Confidential Information received during the tenure of this Agreement for any purpose other than the performance of the Coach's duties under this Agreement, without the prior written consent of DTA PLUS.
This clause shall be binding upon the Coach and enforceable in accordance with the laws of the State of North Carolina.
Termination
This Coaching Agreement may be terminated by either the Coach or ADF under the following conditions:
- By the Coach: The Coach may terminate this Agreement by providing ADF with at least thirty (30) days written notice. Such termination will not relieve the Coach of any obligations to maintain the confidentiality of Confidential Information as defined herein.
- By ADF: ADF may terminate this Agreement at any time, with or without cause, upon providing written notice to the Coach. In the event of termination for cause, ADF shall provide the Coach with a written explanation of the cause for termination.
- Re-evaluation of Coaching Roles: Either party may request a re-evaluation of the coaching roles if it is believed that core responsibilities are not being upheld. This re-evaluation does not automatically result in termination but may lead to adjustments in the coaching arrangement.
- Confidentiality Post-Termination: Upon termination of this Agreement for any reason, the Coach shall continue to maintain the confidentiality of all Confidential Information and shall return any materials containing Confidential Information to ADF.
Zoom Hosting & Recording
Under the terms of this Coaching Agreement, Coaches are required to maintain an active, paid account with Zoom (or a comparable virtual meeting platform approved by ADF) for the purpose of hosting Coaching Sessions. Each Coaching Session must be recorded in its entirety by the Coach. Following the conclusion of each Coaching Session, the Coach shall ensure that the recording is uploaded and securely stored within the client’s designated folder on the ADF-approved storage portal.
It is imperative that all recordings are handled in accordance with the standards set forth for the protection of Confidential Information. Access to these recordings shall be restricted to authorized personnel of ADF and the respective client, unless otherwise agreed upon in writing. The Coach is responsible for ensuring the security and confidentiality of the Coaching Session recordings, including implementing adequate measures to prevent unauthorized access, use, or disclosure.
